These Affiliate Program Terms & Conditions (“Terms”) govern your participation in the affiliate program (“Program”) offered by Branva (“Branva,” “we,” “us,” or “our”) covering our Shopify apps, including Converta, Branva — All in one marketing app, ShopMySize, and TrustFlow Reviews (each, an “App”).

By enrolling in the Program you (“Affiliate,” “you”) agree to be bound by these Terms. If you do not agree, do not enroll.

1. Program overview

The Program lets approved Affiliates earn a commission for referring new paying customers to any Branva App available on the Shopify App Store.

2. Eligibility

  • You must be at least 18 years old and legally able to enter contracts in your jurisdiction.
  • You must complete Branva’s Affiliate enrollment (directly or via an approved partner network such as Shoffi) and be approved by us.
  • You must have a legitimate audience, website, newsletter, community, social channel, or agency practice through which you will promote the App.
  • Employees of Branva and its affiliates are not eligible.

    • We reserve the right to refuse or terminate any application at our sole discretion.

    3. Commission structure

  • Rate: 40% of net paid subscription revenue for each new paying customer you refer.
  • Duration: Commission is paid on the first 6 months of the referred customer’s paid subscription revenue.
  • Free trials: Commission applies only after the customer begins paying. Free-trial-only users do not generate commission.
  • Net revenue: “Net paid subscription revenue” means the amount actually received by Branva after Shopify’s platform fees, chargebacks, refunds, taxes, and any promotional discounts have been deducted.

    • 4. Attribution

  • Commissions are awarded when a customer installs a Branva App via your unique referral link and becomes a paying customer.
  • Attribution cookies persist for 30 days from the last click on your referral link. If a customer clicks referral links from multiple Affiliates within that window, credit is awarded on a last-touch basis.
  • Attribution is measured by Shopify Partners tracking and/or the affiliate network platform through which you enrolled (e.g. Shoffi). We rely on those platforms’ tracking as the source of truth.

    • 5. Payment

  • Commissions are calculated monthly and paid within 30 days after the end of each month, provided the earned balance exceeds USD $50.
  • Payments are made via the payout method supported by the affiliate network you enrolled through, or by wire transfer / PayPal for direct Affiliates.
  • Affiliate is solely responsible for all taxes owed on commissions earned.
  • Commissions on transactions that are later refunded, charged back, or reversed will be deducted from future payouts or invoiced back if no future payouts are pending.

    • 6. Refunds & chargebacks

    If a referred customer receives a refund, initiates a chargeback, or cancels their subscription and receives a refund of paid amounts, the corresponding commission will be reversed. Reversed commissions will be deducted from your next payout.

    7. Permitted promotion methods

    You may promote the App through:

  • Your website, blog, or newsletter
  • Organic social media posts and videos where you are the account owner
  • Paid advertising, except where restricted below
  • Podcasts, YouTube channels, community groups (Slack, Discord, Facebook) that you own or moderate
  • Agency and consultant client recommendations

    • 8. Prohibited promotion methods

    You may NOT:

  • Bid on Branva-branded search terms, App names, or misspellings thereof in Google Ads, Bing, Meta, or any other paid platform.
  • Impersonate Branva, imply an official affiliation beyond “Affiliate,” or use language suggesting you are the developer or maintainer of the App.
  • Send unsolicited email (spam), SMS, or messages in violation of applicable law (including CAN-SPAM, CASL, GDPR, TCPA).
  • Post referral links in comment sections, forums, or subreddits where doing so violates that community’s rules.
  • Register domain names, social handles, or app-store listings that include “Branva,” “Converta,” or any Branva App name.
  • Use false, misleading, or unsubstantiated claims about the App, its results, or its pricing.
  • Offer cash rebates, prizes, or other incentives to install the App unless pre-approved in writing.
  • Publish content that is discriminatory, defamatory, obscene, or otherwise unlawful.
  • Self-refer — you may not earn commission on your own installs or those of businesses you own.

    • Violation of this section may result in termination and forfeiture of unpaid commissions.

    9. Trademarks & brand assets

    We grant you a limited, revocable, non-exclusive license to use Branva and App names, logos, and screenshots solely to promote the App during the term of your participation, and only in accordance with any brand guidelines we publish. You may not modify our logos or represent our marks in ways that suggest endorsement of your other products or services. All goodwill from your use of our marks accrues to Branva.

    10. Independent contractor

    You are an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and Branva. You have no authority to make statements, representations, or commitments on our behalf.

    11. Disclosures

    You agree to clearly disclose your affiliate relationship with Branva in a manner that complies with applicable law, including the U.S. Federal Trade Commission’s Endorsement Guides, the EU Digital Services Act, and any equivalent regulations in your jurisdiction.

    12. Term and termination

  • These Terms take effect when you are approved for the Program and continue until terminated by either party.
  • You may terminate at any time by written notice to hello@withbranva.com.
  • We may terminate your participation at any time, with or without cause, effective immediately upon notice.
  • Upon termination, you must remove all Branva marks, referral links, and Program-related content from your properties within 14 days.
  • Commissions earned prior to termination will be paid according to Section 5, subject to any offsets for reversals or violations.

    • 13. Modifications

    We may update these Terms at any time by posting the revised version at this URL. Material changes will be communicated by email or through the affiliate network platform where you enrolled. Continued participation after changes take effect constitutes acceptance.

    14. Confidentiality

    You agree to keep confidential any non-public information about Branva or its Apps that you receive through the Program, including but not limited to commission structures, product roadmaps, and business metrics. This obligation survives termination.

    15. Disclaimers & limitation of liability

    The Program is provided “as is.” Branva makes no representation or warranty about the amount of commissions you may earn or the performance of any App. To the fullest extent permitted by law, Branva’s aggregate liability arising out of or related to these Terms will not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

    16. Governing law and disputes

    These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
